1. Acceptance of Terms

By accessing, browsing, or using arBtrage.com (the "Service", "Site", "we", "us", "our"), you ("User", "you") agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree to all of these terms, you must immediately stop using the Service.

You represent that you are at least 18 years old and have full legal capacity to enter into this agreement.

2. Not Investment, Legal, Tax, or Professional Advice

arBtrage.com is an educational and informational tool for tracking publicly disclosed corporate earnings events, market-implied volatility, and other publicly available financial data. We are NOT a registered broker-dealer, investment adviser, financial planner, accountant, attorney, or tax professional.

Nothing on the Service constitutes — and shall not be construed as constituting — investment, financial, legal, tax, or other professional advice or recommendation. The Service does not solicit, recommend, endorse, or offer to buy or sell any security, option, derivative, asset, or financial instrument.

All data, signals, panels, scores, indicators, opportunity rankings, backtests, expected moves, implied volatility estimates, sector classifications, and any other content displayed are provided strictly for informational and educational purposes. They are NOT a recommendation to take any particular trading or investment action.

You acknowledge and agree that any decision you make based on information from the Service is made solely at your own discretion and risk. You should consult with qualified, licensed professionals before making any financial decision.

3. Trading Risk Disclosure

Trading securities, options, derivatives, and other financial instruments involves substantial risk of loss and is not suitable for all investors. Options trading in particular carries the risk of total loss of capital invested and may involve losses exceeding your initial investment.

Past performance does not guarantee future results. Backtests, walk-forward analyses, hit rates, average reactions, and any historical statistics shown on the Service are based on retrospective data and do not predict future performance. Real-world trading involves slippage, commissions, taxes, latency, market impact, and other costs not reflected in backtest results.

Implied volatility, expected move percentages, and ATM straddle pricing are mathematical approximations derived from publicly available option chain data. They are not guarantees of price movement and should not be relied upon for trading decisions.

4. Data Sources and Accuracy

arBtrage.com aggregates data from publicly available sources including but not limited to Nasdaq, U.S. Securities and Exchange Commission EDGAR filings, Yahoo Finance, and other third-party APIs. We do not control these data sources and make no representations or warranties about the accuracy, completeness, timeliness, or reliability of any data displayed.

Data may be delayed, incomplete, incorrect, outdated, or otherwise unreliable. We do not warrant that data will be available at any particular time or that any data feed will be uninterrupted. You acknowledge that any reliance on data from the Service is at your own risk.

Earnings dates, EPS estimates, fiscal periods, sector classifications, and similar metadata may change without notice and may contain errors. SEC EDGAR filings are reported on a delayed basis. Implied volatility calculations are approximations and may differ from those produced by your broker, exchange, or other source.

5. "AS IS" and "AS AVAILABLE" Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, arBtrage AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITATION, arBtrage MAKES NO WARRANTY OR REPRESENTATION (i) THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE; (ii) THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED; (iii) THAT THE SERVICE OR ANY CONTENT WILL BE ACCURATE, RELIABLE, OR TIMELY; OR (iv) AS TO THE QUALITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICE.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL arBtrage, ITS AFFILIATES, OR ANY OF ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF GOODWILL, TRADING LOSSES, INVESTMENT LOSSES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, ANY CONTENT, OR ANY THIRD-PARTY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF arBtrage HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM RELATING TO THIS AGREEMENT OR THE SERVICE EXCEED ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID arBtrage IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, WHICHEVER IS LESS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

7. Indemnification

You agree to defend, indemnify, and hold harmless arBtrage, its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any trading or investment decisions you make based on information from the Service; or (e) any loss you incur in connection with your use of the Service.

8. Intellectual Property

All content on the Service — including but not limited to the arBtrage name, logo, design, layout, visual elements, software, code, panel methodologies, scoring algorithms, computed indicators, and aggregated data presentations — is the property of arBtrage or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, scrape, store, or transmit any content from the Service without our prior written permission, except as necessary for personal, non-commercial use of the Service as intended.

9. Acceptable Use

You agree NOT to: (a) use any automated means (bots, scrapers, crawlers) to access the Service at a rate that imposes an unreasonable load on our infrastructure; (b) attempt to reverse-engineer, decompile, or extract source code or methodology from the Service; (c) use the Service to engage in any unlawful, fraudulent, manipulative, or abusive trading practices; (d) attempt to gain unauthorized access to any portion of the Service or any related systems; or (e) use the Service to harm, harass, or defraud any other party.

10. Modifications to the Service and Terms

We reserve the right, at our sole discretion and without prior notice, to (a) modify, suspend, discontinue, or terminate the Service or any portion thereof at any time; (b) change, add, or remove features, data, or content; (c) modify pricing or subscription terms; and (d) modify these Terms.

Continued use of the Service after any modifications constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

11. Termination

We may terminate or suspend your access to the Service at any time, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

13. Severability and Waiver

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and arBtrage regarding the Service and supersede all prior agreements and understandings.

15. No Professional Relationship

Use of the Service does not create any professional relationship between you and arBtrage. We are not your broker, adviser, fiduciary, agent, or representative. We have no duty to monitor your trading activity, alert you to risks, or take any action on your behalf.
